By subscribing to the Stellar service offered by Stunbound ("The Studio"), the subscribing party ("The Partner" or "Client") agrees to be bound by these Terms of Service & Conditions ("Terms"). These Terms constitute a binding contract between The Partner and The Studio, operated by CLANET Florent EI ("Owner"), as Stunbound, a micro-enterprise registered under SIRET n°53013962500020 at 64, rue Victor Hugo, Montblanc, France.
We keep things simple and transparent. No jargon, no hidden clauses. These Terms explain how our partnership works so we can focus on what matters:
doing great work together.
By clicking "Subscribe," "Start now," or completing payment for the Stellar subscription, The Partner confirms that:
The Partner has read and understood these Terms
The Partner has the authority to enter into this agreement on behalf of themselves or their organization
The Partner agrees to be legally bound by these Terms
These Terms apply exclusively to the Stellar monthly subscription service. Fixed-price projects (Igniter, Booster, custom) are governed by separate Statements of Work.
2.1 What The Partner Gets
The Stellar subscription provides ongoing design services with the following features:
Dedicated Senior Designer: A dedicated designer assigned to The Partner's account for consistency and brand understanding,
Unlimited Requests: The Partner may submit as many requests as needed throughout the subscription,
Unlimited Revisions: Each request includes unlimited revisions until The Partner is satisfied with the result,
One Request at a Time: The Studio works on one active request at a time to ensure focused, high-quality output,
Priority Over Fixed Projects: Stellar partners receive priority handling over fixed-price projects, ensuring faster reactivity and responsiveness,
Access All Services: Branding, Visual Identity, UI/UX Design, Web Design, Product Design, Marketing Materials, Copywriting, Strategy,
Priority Support: Dedicated chat support, 6 days per week,
Weekly Sprint Calls: Scheduled calls to align on priorities and review progress,
Async Video Updates: Regular video walkthroughs of designs and progress,
Project Board: Full visibility on request status, progress, and deliverables,
Free Audit: A complimentary brand, website, or product audit at the start of the subscription, if applicable.
2.2 What Is Not Included
The Stellar subscription does not cover:
Complex 3D modeling and rendering,
Advanced WebGL interactions,
Complex motion graphics and video production,
Extensive print design (books, magazines, catalogs),
Physical product packaging requiring manufacturing specs,
Back-end development and database work,
Photography and videography,
Hosting and domain management,
Stock imagery and font licensing (provided at Partner's expense).
If The Partner needs services outside this scope, The Studio will discuss options and may provide a separate quote.
3.1 Subscription Fee
The Stellar subscription is billed at $2,450 USD per month. This is a flat monthly fee covering all included services.
3.2 Billing Cycle
The subscription follows anniversary billing: The Partner is charged on the same date each month. If The Partner subscribes on August 4th, The Partner will be charged on the 4th of each subsequent month.
The subscription renews automatically at the end of each billing cycle unless The Partner pauses or cancels.
3.3 Payment Methods
Payments are processed securely through Stripe. By subscribing, The Partner authorizes The Studio to charge the selected payment method for the recurring subscription fee.
3.4 Failed Payments
If a payment fails, Stripe will automatically retry the charge up to 3 times over 7 days. The Partner will receive email notifications about the failed payment. If payment cannot be processed after the retry period, the subscription will be paused and work will stop until payment is resolved.
3.5 Invoicing
An invoice will be generated and sent to The Partner automatically after each successful payment. Invoices comply with applicable French regulations and include all required legal information.
4.1 How Pausing Works
The Partner may pause the subscription at any time through the Stripe billing portal.
When The Partner pauses:
Billing stops: No charges will be made while paused,
Active work completes: Any request currently in progress will be completed before the pause takes effect,
Access preserved: The Partner retains access to the project board, delivered assets, and may still reach out via chat for quick questions,
Onboarding preserved: When The Partner resumes, the onboarding process is skipped entirely; project context, brand knowledge, and the working relationship remain intact,
Price locked: If The Studio increases subscription pricing while The Partner is paused, The Partner keeps the original rate when resuming,
New requests paused: The Partner cannot submit new design requests while paused.
Pausing is ideal when The Partner temporarily does not have enough work to justify the subscription but wants to maintain continuity without starting fresh later.
4.2 Resuming
The Partner may resume the subscription at any time through the Stripe billing portal. When The Partner resumes, a new billing cycle begins immediately and The Partner regains full access to submit new requests and receive priority support.
5.1 How to Cancel
The Partner may cancel the subscription at any time through the Stripe billing portal. Cancellation takes effect at the end of the current billing cycle.
5.2 What Happens Upon Cancellation
After we get notified:
The Partner retains ownership of all work delivered during the subscription,
Active requests will be completed and delivered before the subscription ends,
Source files for completed work will be provided upon final delivery,
The Partner's project space will be archived and accesses will be revoked,
Any brand assets, files, or content The Partner provided will be deleted from The Studio's systems within 60 days unless otherwise agreed.
5.3 Starting again
The Partner may resubscribe at any time. Resubscribing requires completing a new onboarding process, as the previous project context may no longer be current. A new billing cycle begins upon re-subscription.
6.1 First-Week Satisfaction Guarantee
If The Partner is not satisfied with the service within the first 7 calendar days of the initial subscription, The Partner may request a refund following this structure:
Before onboarding is complete: 75% of the subscription fee refunded,
After onboarding is complete: 50% of the subscription fee refunded,
After work has begun on your first request: No refund.
To be eligible, the request must be made within 7 calendar days of the first payment, and The Partner must provide a reason for the refund request. All work produced during this period remains The Studio's property and must not be used.
6.2 After the First Week
After the first 7 calendar days, no refunds will be issued. The Partner may pause or cancel the subscription at any time, but the current billing cycle will not be refunded. The Studio invests significant time and resources into each subscription from the start, and the pricing reflects this commitment.
6.3 Refunds for Completed Work
No refunds are issued for work that has been completed and approved by The Partner, regardless of timing.
7.1 Submitting Requests
The Partner submits requests primarily through the project board. Alternatively, requests can be submitted via email following a specific method that will be shared during onboarding.
A complete request should include:
Clear description of what The Partner needs
Any relevant reference materials, assets, or examples
Specific dimensions or format requirements
Context on how this fits into The Partner's broader goals
7.2 One Request at a Time
The Studio works on one active request at a time. This ensures each deliverable receives full attention and highest quality. Once a request is completed (approved or signed off by The Partner), The Studio moves to the next one in the queue.
What counts as "one request": A single deliverable or a tightly related group of deliverables (e.g., UX flow, copywriting, UI screens, front-end development for a single feature). For example, a landing page design is one request. A full website with 10 pages may be broken into multiple requests (Strategy, UX, UI, Development…).
7.3 Larger Projects
Complex requests (full website designs, product design, comprehensive branding) are broken down into smaller phases. The Studio discusses the breakdown with The Partner at the start and delivers incrementally. Each phase counts as one request for prioritization purposes.
7.4 Turnaround & Estimates
Turnaround depends on several factors: request complexity, clarity of the brief, feedback timing, and current workload.
The Studio communicates an estimate for each request when work begins. This estimate is based on The Studio's assessment of the scope and complexity. If circumstances change or delays are anticipated, The Studio communicates proactively.
As a general reference:
Simple requests: 1-2 business days (social graphics, minor edits, simple assets),
Standard requests: 3-5 business days (UI screens, brand materials),
Complex requests: 8+ business days (landing pages, multi-page websites, product features, comprehensive design work).
These are indicative ranges, not guarantees.
7.5 Queue & Priority
The Partner may queue multiple requests, and priorities will be determined together during weekly sprint calls. If priorities shift, The Partner may reorder the queue at any time. The Studio reserves the right to suggest reordering based on project dependencies or efficiency.
8.1 Unlimited Revisions
Each request includes unlimited revisions within the scope of that request. The Studio will continue refining the work until The Partner is satisfied. This applies to all deliverables: design, copywriting, user flows, strategy documents, and any other output.
However, revisions must stay within the original direction: changing the entire concept or scope mid-request may constitute a new request.
8.2 Feedback & Review
When The Studio delivers work for review (via the project board, async video presentation, or call), The Partner has 72 hours to provide feedback.
Clear, specific, and actionable feedback helps The Studio deliver faster. Vague feedback ("make it pop") slows the process and leads to misalignment.
If The Studio does not receive feedback within 72 hours, a reminder will be sent.
8.3 Sign-Off & Implicit Approval
A request is complete when The Partner explicitly approves it via chat, email, or the project board.
If The Studio does not hear back from The Partner within 7 business days after the reminder, the deliverable is considered approved. Signed-off work cannot be revised under the same request.
9.1 Communication Channels
The most efficient way of working is through:
Primary: Dedicated chat channel for day-to-day communication,
Project tracking: Project board for request management, feedbacks and status updates,
Calls: Weekly sprint calls for alignment and planning,
Async updates: Video walkthroughs for design reviews and explanations.
We still accept communication via email when working on a project, but bear in mind this is not efficient.
9.2 Response Times & Priority Windows
The Studio aims to respond to messages within 24 hours during business days. Priority support is available 6 days per week (Monday through Saturday).
Priority chat windows (UTC+1):
Daily (Monday to Saturday): 12:30 to 13:00
Central Europe (CET): 12:30 PM to 1:00 PM
Singapore/Hong Kong (SGT/HKT): 7:30 PM to 8:00 PM
Monday, Wednesday, Thursday, Friday, Saturday: 17:00 to 17:30
US East Coast (EST): 11:00 AM to 11:30 AM
US West Coast (PST): 8:00 AM to 8:30 AM
Central Europe (CET): 5:00 PM to 5:30 PM
During these windows, The Partner can expect real-time responses for urgent matters.
9.3 Scheduled Calls
Weekly sprint calls and other scheduled meetings are arranged within designated call windows based on The Partner's timezone:
Tuesday (EU & Asia): 9:30 to 12:30 (UTC+1)
Central Europe (CET): 9:30 AM to 12:30 PM
Singapore/Hong Kong (SGT/HKT): 4:30 PM to 7:30 PM
Wednesday & Thursday (US & EU): 16:30 to 20:00 (UTC+1)
US East Coast (EST): 10:30 AM to 2:00 PM
US West Coast (PST): 7:30 AM to 11:00 AM
Central Europe (CET): 4:30 PM to 8:00 PM
For Partners outside these windows, The Studio will work together with The Partner to find mutually convenient times, though availability may be more limited.
Async communication (chat, video updates, project board) does not require real-time overlap and works across all time zones.
To ensure a smooth and efficient partnership, The Partner agrees to:
Provide clear briefs: Submit requests with sufficient detail, references, and context,
Timely feedback: Review deliverables and provide feedback within 72 hours,
Provide assets: Supply any required brand assets, logos, copy, images, or content needed for the work,
Access & permissions: Grant necessary access to tools, platforms, or systems if required,
Decision-maker availability: Ensure decision-makers are available for approvals to avoid delays,
Accurate billing information: Provide and maintain accurate payment and billing details.
While The Studio aims to make collaboration as seamless as possible, The Studio works exclusively within its own environment and tools. This means:
The Studio uses its own project management, communication, and design tools,
The Studio will not work within The Partner's internal systems (e.g., The Partner's Notion, Slack workspace, or project management tools),
All deliverables, updates, and communication happen through The Studio's designated channels.
This approach ensures consistency across all partnerships and allows The Studio to maintain the quality and efficiency The Partner is paying for. Juggling unfamiliar tools across multiple partners would compromise The Studio's ability to deliver at the level promised.
The Studio is happy to export deliverables in formats compatible with The Partner's systems and to accommodate reasonable handoff requirements.
12.1 Ownership of Deliverables
Upon approval of a deliverable and payment of all fees due, The Partner receives full ownership of that deliverable. This includes:
Final design files,
Source files (Figma, Adobe, working files),
Production-ready assets,
All rights to use, modify, and distribute the work.
12.2 Work in Progress
Until a deliverable is approved and paid for, all work remains The Studio's property. Concepts, drafts, and work-in-progress materials are not transferred until final sign-off.
12.3 Third-Party Assets
Some deliverables may include third-party assets (stock images, fonts, icons) that require separate licensing. The Studio will clearly identify any such assets, and The Partner is responsible for obtaining appropriate licenses. Free and open-source assets will be used when possible.
12.4 Portfolio Rights
The Studio retains the right to showcase completed work in its portfolio, website, social media, and promotional materials, including brand strategy, positioning, messaging, and visual deliverables, unless otherwise agreed in writing.
If The Partner's project is confidential, The Partner should notify The Studio before work begins. The Studio respects NDAs and confidentiality requirements.
12.5 Your Materials
The Partner retains ownership of all materials provided to The Studio (brand assets, content, images, copy). The Partner grants The Studio a limited license to use these materials solely for the purpose of completing requests during the subscription period.
12.6 Licensing Responsibility
The Partner agrees to assume full responsibility for any unauthorized use of images, fonts, or other content displayed on The Partner's website, communication channels, or any other mediums. It is the sole responsibility of The Partner to ensure that all content utilized is properly licensed.
While The Studio may, in certain circumstances, hold appropriate licenses for the use of specific materials, such licenses are not transferable to The Partner unless explicitly stated in writing.
13.1 Our Commitment
Both parties agree to keep confidential any sensitive business information shared during the course of this partnership. This includes financial data, technical specifications, internal operations, user data, and any materials explicitly marked as confidential.
13.2 Non-Disclosure Agreement
The Studio is happy to sign a mutual Non-Disclosure Agreement (NDA) if required. The Partner should provide the NDA before work begins, or request The Studio's standard NDA template.
13.3 Duration
Confidentiality obligations remain in effect for 2 years after the subscription ends.
13.4 Exceptions
Confidentiality obligations do not apply to information that is publicly available, independently developed, lawfully obtained from third parties, or required to be disclosed by law.
14.1 Services Provided "As Is"
The Studio provides design and strategic services with professional care and expertise. While The Studio does work towards achieving The Partner's specific business goals, The Studio does not guarantee specific business results, conversions, revenue, or outcomes from the use of deliverables.
14.2 Liability Cap
In no event shall The Studio's total liability exceed the amount The Partner has paid for the service in the 3 months preceding the claim.
14.3 Exclusions
The Studio and its directors, employees, members, independent contractors, or agents shall not be liable to The Partner or any third party for any direct, indirect, consequential, incidental, special, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, goodwill, attorneys' fees, court costs, fines, forfeitures, or other damages or losses arising from The Partner's use of The Studio's services or deliverables.
14.4 Indemnification
The Partner agrees to defend, indemnify, and hold harmless The Studio and its subsidiaries, affiliates, and all respective officers, members, agents, partners, employees, and independent contractors from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of:
Use of the deliverables or services provided,
Breach of these Terms,
Any breach of The Partner's representations and warranties set forth herein,
The Partner's violation of the rights of any third party, including but not limited to intellectual property rights.
Notwithstanding the foregoing, The Studio reserves the right, at The Partner's expense, to assume control and defense of any matter for which The Partner shall be required to indemnify The Studio hereunder. The Partner agrees to cooperate with the defense of such claims.
14.5 Your Responsibility
The Partner is responsible for reviewing all deliverables before use and ensuring they meet The Partner's requirements. Once The Partner approves a deliverable, The Partner accepts responsibility for its use.
The Studio reserves the right to terminate The Partner's subscription immediately if:
Payment obligations are not met after reasonable retry attempts,
The Partner engages in abusive, harassing, or disrespectful behavior toward team members,
The Partner requests work that is illegal, unethical, or violates The Studio's values,
The Partner breaches any material provision of these Terms.
In such cases, no refunds will be issued. Completed work will be delivered; work in progress will not be transferred.
16.1 Good Faith Resolution
If a dispute arises, both parties commit to addressing it in good faith. Most issues can be resolved through open communication. The Partner should contact The Studio first to discuss any concerns.
16.2 Governing Law
These Terms are governed by and construed in accordance with the laws of France. Any disputes that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of Montpellier, France.
The Studio may update these Terms from time to time. If The Studio makes material changes, The Partner will be notified via email at least 30 days before the changes take effect. The Partner's continued use of the service after such changes constitutes acceptance of the updated Terms.
Minor changes (typo fixes, clarifications that do not affect The Partner's rights) may be made without notice.
18.1 Entire Agreement
These Terms constitute the entire agreement between The Partner and The Studio regarding the Stellar subscription service and supersede any prior agreements or understandings.
18.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
18.3 Assignment
The Partner may not assign or transfer the subscription without The Studio's prior written consent. The Studio may assign its rights and obligations under these Terms to any successor in interest.
18.4 No Waiver
Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
18.5 Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, pandemics, war, or government actions.
